On August 21, 2013, PowerSecure International, Inc., a Delaware corporation (the “Company”), issued a press release announcing the closing of the previously announced registered underwritten public offerings, in which 2,300,000 shares of the Company’s common stock, par value $0.01 per share (“Common Stock”), were sold by the Company and 200,000 shares of Common Stock were sold by Sidney Hinton, the Company’s President and Chief Executive Officer, as a selling stockholder. The Company’s press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
