Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 15, 2013, Timothy P. Flynn resigned from the Board of Directors of Allegiant Travel Company (the “Company”). Mr. Flynn, who has served on the Company’s Board since before the Company’s initial public offering in 2006, has no conflicts with the Company’s management or other board members.
