Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On August 19, 2013, Momentive Performance Materials Inc. (the “Company”) announced that effective immediately, Craig Morrison, its President and Chief Executive Officer, has assumed the additional position of President of the Company’s Silicones and Quartz Division on an interim basis, following the mutually-agreed resignation of John Dandolph. Mr. Dandolph, who was elected to the position of Executive Vice President and President of the Company’s Silicones and Quartz Division in May 2012, resigned for personal reasons, which are unrelated to business performance.
