(b) Departure of Director
On August 16, 2013, Pzena Investment Management, Inc. (the “Company”) announced that Ronald W. Tysoe, a member of the Company's Board of Directors, resigned, effective immediately, to focus on other business commitments.
The Nominating Committee of the Company's Board of Directors is currently in the process of identifying a qualified candidate to replace Mr. Tysoe.
