Item 8.01 Other Events.
As previously disclosed, on August 6, 2013, the stockholders of EpiCept Corporation (the "Company") voted to amend the Company's certificate of incorporation to effect a reverse stock split of the outstanding common stock at a ratio of one-for-forty, subject to an adjustment not to exceed 25%, as reasonably determined by the Board of Directors to be in the best interest of the Company's stockholders. On August 12, 2013, the Company's Board of Directors determined that the ratio for the forthcoming reverse split would be one-for-forty.
