Item 7.01. Regulation FD Disclosure.
On August 7, 2013, Rexnord Corporation (the “Company”) issued a press release announcing that its two wholly-owned subsidiaries, RBS Global, Inc. and Rexnord LLC, will launch a cash tender offer and related consent solicitations for their 8½% Senior Notes due 2018. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
The Company is furnishing the information in this Current Report on Form 8-K to comply with Regulation FD.
