Item 1.01 Entry into a Material Definitive Agreement.

On August 2, 2013, Regulus Therapeutics Inc. (the “Company”) entered into an Amendment (“Amendment”) to the Amended and Restated License and Collaboration Agreement with Isis Pharmaceuticals, Inc. and Alnylam Pharmaceuticals, Inc. (“Alnylam”) dated January 1, 2009, as amended in June 2010 and October 2011. Pursuant to the terms of the Amendment, the Company will have a license to use certain Alnylam-controlled intellectual property concerning the use and manufacture of GalNac conjugates (“GalNac Process Technology”) on a non-exclusive basis. The Company will generally not be permitted to sublicense or otherwise transfer the GalNac Process Technology or any of the Alnylam licensed intellectual property rights relating to GalNac conjugate technology that are not GalNac Process Technology without the prior written consent of Alnylam, subject to certain limited exceptions for sublicenses to third party collaboration partners.
