Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On August 1, 2013, we issued a promissory note to one non-US investor in the principal amount of $75,000 plus accrued and unpaid interest. The promissory note is payable in full on February 1, 2014, and bears interest at the rate of 10% per annum and payable at maturity.
We may repay the promissory note at any time on or before maturity without notice, bonus or penalty.
