Item 1.01 Entry into a Material Definitive Agreement.

On August 5, 2013, Westinghouse Air Brake Technologies Corporation (the “Company”) executed and delivered an Underwriting Agreement (the “Underwriting Agreement”), by and among the Company and J.P. Morgan Securities LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as representatives of the underwriters named therein (the “Underwriters”), relating to the issuance and sale of $250.0 million aggregate principal amount of the Company’s 4.375% Senior Notes due 2023 (the “Senior Notes”). Under the terms of the Underwriting Agreement, the Company has agreed to indemnify the Underwriters against certain liabilities, including liabilities under the Securities Act of 1933, as amended (the “Securities Act”), or to contribute payments that the Underwriters may be required to make because of any of those liabilities. A copy of the Underwriting Agreement is filed herewith as Exhibit 1.1.

On August 5, 2013, the Company announced the pricing of its offering of senior notes. The Company’s press release announcing the pricing of its offering of senior notes is set forth in its entirety and filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
