Item 2.02                                           Results of Operations and Financial Condition

On August 6, 2013, Vitesse Semiconductor Corporation (the “Company”) issued a press release reporting its financial results for the quarter ended June 30, 2013.  A copy of the press release issued by the Company is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
