Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 1, 2013, Commercial Vehicle Group, Inc. (the “Company”) announced the realignment of its executive team, effective August 1, 2013. In connection with the realignment, Kevin Frailey, the Company’s Executive Vice President & General Manager of Electrical Systems, was appointed President of Global Construction, Agriculture & Military, Patrick Miller was appointed President of Global Truck & Bus and Timo Haatanen was appointed President of Global Aftermarket and Structures. These three presidents will be responsible for carrying out the Company’s strategy.

Gerald L. Armstrong, the Company’s President of North & South American Markets, will leave the Company effective September 1, 2013. As previously announced, Gordon Boyd, the Company’s President of Indian & Australian Markets, will retire on September 1, 2013.

In connection with Mr. Armstrong’s departure, the Company and Mr. Armstrong expect to enter into a separation agreement, the terms of which are currently being negotiated by the Company and Mr. Armstrong.
