Item 8.01   Other Events.

On July 31, 2013, Blue Ridge Real Estate Company closed on the sale to Wildlands Conservancy, through a Cooperative Agreement with The Pennsylvania Game Commission, for approximately 1,557 acres of land located in Buck Township, Luzerne County, Pennsylvania for the aggregate purchase price of $5,000,000.

The Companies used a portion of the proceeds of the land sale to pay off their operating line of credit with M & T Bank.  The Companies intend to use the remaining proceeds from the sale for general corporate purposes.
