Item 2.02 Results of Operations and Financial Condition.
On July 24, 2013, we issued a press release announcing our earnings for the second quarter and first half of 2013. A copy of that press release is furnished as Exhibit 99.1 to this report and is incorporated by reference herein.

Item 8.01 Other Events.
On July 24, 2013, we also announced that our Board of Directors declared a quarterly dividend of $0.22 per common share. The dividend will be payable on September 20, 2013 to shareholders of record at the close of business on August 30, 2013. A copy of that press release is furnished as Exhibit 99.2 to this report and is incorporated by reference herein.
