(b)                                 On July 18, 2013, Thomas C.K. Yuen, a member of the Board of Directors (the “Board”) of DTS, Inc., resigned from the Board due to personal reasons, effective immediately.  There was no disagreement between Mr. Yuen and the Company relative to his resignation.
