(b) On July 12, 2013, Thomas S. L. Anderman resigned from his position as a member of the Board of Directors of WireCo WorldGroup Inc. (the “Company”). The resignation was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices. The Board of Directors accepted Mr. Anderman's resignation and will not appoint a new director to fill the vacancy.
