(b) On July 15, 2013, John T. Dickson resigned from the Board of Directors and Audit and Legal Committee of Freescale Semiconductor, Ltd. (the "Company") to be effective as of July 29, 2013. There were no disagreements with the Company on any matters relating to its operations, policies or practices that led to Mr. Dickson’s resignation.
