Item 8.01 Other Events.

 

On July 1, 2013, our previously reported contract to sell the 11-acre Northridge property to Roberts Properties, Inc. which is wholly owned by Mr. Charles S. Roberts, our Chief Executive Officer, expired according to its terms, which resulted in our receipt of the $25,000 earnest money deposit. In accordance with our ongoing business plan, we will continue to seek to sell the Northridge property.

 

Additionally, we have been informed by Roberts Properties, Inc., that Roberts Properties is revising its development and construction plans for the Northridge property to incorporate numerous design changes and construction improvements. Roberts Properties intends to continue working on Northridge, because it has expended in excess of $500,000, to date, on the Northridge project. Therefore, Roberts Properties may in the future offer to purchase the Northridge property if it has not been sold to another purchaser.
