Item 8.01 Other Events
On July 2, 2013, Healthways, Inc. (the "Company") issued a press release announcing that it has priced its private offering of $125 million aggregate principal amount of cash convertible senior notes due 2018. The Company also granted the initial purchasers of the notes an option to purchase up to an additional $25 million aggregate principal amount of the notes. The notes are being offered and sold only to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. The full text of the press release is attached as Exhibit 99.1.
