EXPLANATORY NOTE
This Amendment No. 1 on Form 8-K/A (this “Amendment”) amends and restates Exhibit 99.1 to the Current Report on Form 8-K of BancorpSouth, Inc. filed with the Securities and Exchange Commission on June 27, 2013 (the “Original Filing”). Except for such amendment and restatement, this Amendment does not update, modify or amend the Original Filing and all other information included in the Original Filing remains unchanged. All references in the Original Filing to the press release and Exhibit 99.1 shall hereinafter be deemed to refer to Exhibit 99.1 filed with this Amendment.
