Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(a) On June 24, 2013, George Zimmer resigned from the Board of Directors of The Men’s Wearhouse, Inc. (the “Company”) effective immediately. Mr. Zimmer’s resignation follows the Company’s previous announcement that the Board of Directors of the Company terminated Mr. Zimmer from his position as Executive Chairman of the Company effective as of June 18, 2013.
Mr. Zimmer’s resignation stemmed from disagreements regarding recent Board decisions and the strategic direction of the Company. Please see Mr. Zimmer’s letter of resignation, which is filed herewith as Exhibit 99.1.
