Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective June 17, 2013, Kevin L. Kelley’s title was changed to Executive Vice President of the Company and his employment agreement with Fertitta Entertainment LLC was amended to, among other things, provide for a base salary of $500,000.  Effective June 17, 2013, Stephen L. Cavallaro, President of the Company, was appointed as Chief Operating Officer as well.
