(b)                                 On June 20, 2013, Larry Katzen tendered his resignation as a director of The Men’s Wearhouse, Inc. (the “Company”) effective immediately.  Mr. Katzen was not standing for re-election at the Company’s annual meeting of shareholders, which was scheduled to be held on June 19, 2013 but, as previously announced, has now been postponed.  There were no disagreements with the Company on any matter relating to the Company’s operations, policies or practices.
