O’REILLY AUTOMOTIVE, INC. ANNOUNCES PROPOSED OFFERING

OF $300 MILLION OF SENIOR NOTES DUE 2023

SPRINGFIELD, Mo., June 17, 2013—O’Reilly Automotive, Inc. (“O’Reilly” or “the Company”) (Nasdaq: ORLY) announced today that it plans to offer $300 million aggregate principal amount of its Senior Notes due 2023 (the “Notes”). The Company intends to use the net proceeds of the offering for general corporate purposes, including ordinary course working capital increases, repurchases of shares of common stock, repayment of debt and to invest in other business opportunities, including acquisitions, and to pay related fees and expenses.

A registration statement on Form S-3 relating to the Notes has been filed with the Securities and Exchange Commission and became effective upon filing.
