Item 8.01. Other Events.
On June 19, 2013, National Financial Partners Corp.’s (“NFP”) broker-dealer subsidiaries received approval from the Financial Industry Regulatory Authority (FINRA) of the indirect change of ownership and control of such broker-dealer subsidiaries that will result from the consummation of the previously-announced merger of a controlled affiliate of Madison Dearborn Partners, LLC with and into NFP (the “Merger”). Such approval satisfies one of the conditions required for completion of the Merger.
