Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 14, 2013, the board of directors (the “Board”) received the resignation of Mr. Michael Roberts as a Director of Standard Parking Corporation (the “Company”), which became effective as of said date. Mr. Roberts’ decision to resign from the Board of the Company was not based upon any disagreement with the Company on any matter relating to the Company’s operations, policies or practices as contemplated by Item 5.02(a) of Form 8-K.
