Item 8.01 Other Events.
On June 18, 2013, Fidelity Southern Corporation (the “Company”) issued a press release announcing that it had closed its public offering of 750,000 shares of common stock at $12.00 per share as a result of the underwriters' exercising their overallotment option in full. A copy of this press release is furnished as Exhibit 99.1 hereto and incorporated by reference herein.
