(d) On June 11, 2013, our Board of Directors elected Mr. Steven A. Harmon as a member of the Board of Directors. Mr. Harmon was recommended to the Nominating Committee by Community Electric Cooperative to replace Mr. James M. Reynolds, who resigned from our Board of Directors effective April 30, 2013. Mr. Harmon will serve on the Finance Committee. Also on June 11, 2013, our Board of Directors elected Mr. Paul H. Brown as a member of the Board of Directors. Mr. Brown was recommended to the Nominating Committee by Prince George Electric Cooperative to replace Mr. Glenn F. Chappell. Mr. Brown will serve on the Finance Committee.
