Item 8.01. Other Events.
On June 11, 2013, RCS Capital Corporation (the “Company”) issued a press release announcing that its FINRA-registered wholesale broker-dealer subsidiary, Realty Capital Securities, LLC, has served as dealer manager with respect to $10 billion in direct investment program equity capital raised since the beginning of 2009. A copy of such press release is attached hereto as Exhibit 99.1.
