Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On June 10, 2013, Heartland Financial USA, Inc. issued a press release announcing that John K. Schmidt, the company's Executive Vice President, Chief Financial Officer and Chief Operating Officer, will be resigning effective mid-July 2013 to accept a position at A.Y. McDonald Industries, Inc. Mr. Schmidt will remain a member of Heartland's Board of Directors. A copy of the press release is attached as Exhibit 99.1.
