Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Goldfield Corporation Long-Term Incentive Plan (“2013 Plan”) is used to grant annual and long-term incentive awards to The Goldfield Corporation (the “Company”) officers and key employees. At its meeting on March 14, 2013, the Board of Directors of the Company (the “Board”) approved the 2013 Plan, subject to stockholder approval, to replace the 1998 Executive Long-Term Incentive Plan, which will be terminated, and to permit awards under the 2013 Plan to qualify as performance-based compensation under Section 162(m) of the Internal Revenue Code of 1986, as amended (“Section 162(m)”). The stockholders approved the 2013 Plan, including the material terms of the performance goals for purposes of Section 162(m), at the Annual Meeting of Stockholders held on May 30, 2013. The terms of the 2013 Plan are described in the Company's 2013 Proxy Statement, which was filed with the Securities and Exchange Commission on April 29, 2013, which description is incorporated herein by reference.
