Emerald Oil, Inc. Announces Completion of Private Placement

 

DENVER, CO—June 4, 2013—Emerald Oil, Inc. (NYSE MKT: EOX) (the “Company”) announced today that it has completed the sale of 2,785,600 shares of its common stock to affiliates of White Deer Energy ("White Deer"), an energy private equity firm, for approximately $16.2 million after deducting placement agent fees. The Company plans to use the net proceeds from the private placement, along with cash on hand, proceeds from its recently completed public offering, cash flow from operations, proceeds from sales of assets and additional borrowings under its credit facility, to fund the Company’s 2013 capital budget.

 

The shares of common stock offered and sold to White Deer pursuant to the securities purchase agreement will not be registered under the Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
