ITEM 8.01. OTHER EVENTS
On June 4, 2013, DSP Group, Inc. issued a letter to stockholders announcing the recommendations of ISS, Glass Lewis and Egan Jones in favor of management nominees to the board of directors of the company at the upcoming annual meeting of stockholders to be held on June 10, 2013. A copy of the letter to stockholders is filed herewith as Exhibit 99.1.
