Item 1.01. Entry into a Material Definitive Agreement.

Item 2.03. Creation of a Direct Financial Obligation or an Obligation Under an Off-Balance Sheet Arrangement of a Registrant.

On May 30, 2013, Penn Virginia Corporation (the “Registrant”) entered into the Assignment and Third Amendment to Credit Agreement among Penn Virginia Holding Corp., a subsidiary of the Registrant, as borrower, the Registrant, as parent, the lenders party thereto and Wells Fargo Bank, National Association, as administrative agent (the “Third Amendment”). The Third Amendment amends the Credit Agreement to, among other things, (i) increase the aggregate commitments thereunder from approximately $275 million to $350 million (the “Commitment Increase”), (ii) specify the commitment fees payable to each lender in connection with the Commitment Increase, (iii) make certain amendments thereto to comply with recent hedging regulations promulgated under the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010 and (iv) revise the form of promissory note such that it does not include the stated amount.

A copy of the Third Amendment is attached as Exhibit 10.1 to this Current Report on Form 8-K, is incorporated herein by reference and is hereby filed. The description of the Third Amendment in this Current Report on Form 8-K is a summary and is qualified in its entirety by reference to the complete text of such agreement.
