| ITEM 7.01 | REGULATION FD DISCLOSURE. |
On June 3, 2013, Farmers National Banc Corp. (the “Company”) issued a press release announcing the execution of a definitive agreement providing for the acquisition of National Associates, Inc. (“NAI”), a Cleveland, Ohio retirement planning consultancy. Consummation of the transaction is conditioned upon receipt of applicable regulatory approvals and other customary conditions, but is expected to close during the second quarter of 2013. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
