Item 8.01. Other Events.

On May 31, 2013, Horizon Lines, Inc. (the “Company”) determined that it intends to (i) include in its proxy statement for the Company’s 2014 Annual Meeting of Stockholders (to be held on or before June 5, 2014) a proposal (the “Rights Plan Proposal”) soliciting stockholder approval of the 382 Rights Agreement, dated as of August 27, 2012, by and between the Company and American Stock Transfer & Trust Company, as Rights Agent (the “Rights Agreement”), or (ii) repeal the Rights Agreement prior to the 2014 Annual Meeting. In the event that the Company elects to include the Rights Plan Proposal in the proxy statement, and the Company does not receive the affirmative vote of the majority of shares present in person or represented by proxy at the 2014 Annual Meeting of Stockholders and entitled to vote on the matter, then the Company will promptly take action to repeal the Rights Agreement. As previously disclosed, the Company’s entry into the Rights Agreement was intended to avoid an “ownership change” within the meaning of Section 382 of the Internal Revenue Code of 1986, as amended, and thereby preserve the current ability of the Company to utilize certain net operating loss carryovers and other tax benefits of the Company and its subsidiaries.
