Item 7.01.       Regulation FD Disclosure.
 
On May 24, 2013, Heinz issued a press release announcing that it has received regulatory approval from the Chinese Ministry of Commerce for the acquisition of Heinz by an investment consortium comprised of Berkshire Hathaway and investment fund affiliated with 3G Capital.  The transaction remains subject to certain customary closing conditions, including receipt of certain remaining regulatory approvals, and is now expected to close in early- to mid-June.  If the merger closes on this expected schedule, no more dividends (partial or otherwise) will be paid to shareholders.  A copy of the press release is attached as Exhibit 99.1 and incorporated herein by reference.
