Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
(b) On May 18, 2013, Dr. Ernest J. Moniz, a director of ICF International, Inc. (the “Company”), submitted his resignation from the Company’s Board of Directors and the Audit Committee, effective immediately, due to his confirmation as the Secretary of Energy of the United States on May 16, 2013. Dr. Moniz’s decision to resign did not involve any disagreement with the Company, the Company’s management or the Board of Directors.
