Regulation FD Disclosure

On May 20, 2013, Griffin Land & Nurseries, Inc. (“Griffin” or the “Registrant”) issued a press release announcing that its real estate division, Griffin Land, signed a five-year full building lease for its 228,000 square foot warehouse facility in the Lehigh Valley of Pennsylvania that was completed in the latter part of fiscal 2012. Attached as Exhibit 99.1 to this Report is the Registrant’s May 20, 2013 press release.
