Item 1.02. Termination of a Material Definitive Agreement.

On May 13, 2013, TAL Advantage IV LLC, an indirect wholly owned subsidiary of TAL International Group, Inc., gave written notice that it will exercise its option to prepay all of the outstanding principal balance of the Series 2011-2 Notes on May 20, 2013.
