Item 8.01. Other Events.
On May 15, 2013, Shutterfly, Inc. (the “Company”) issued a press release announcing the pricing of $270,000,000 aggregate principal amount of 0.25% convertible senior notes due 2018 in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended. A copy of the press release is attached as Exhibit 99.01 and incorporated herein by reference.
