Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 8, 2013 at the 2013 Annual General Meeting of Chicago Bridge & Iron Company N.V. (the “Company”), Gary L. Neale’s term and J. Charles Jennett’s term as members of the Company’s Supervisory Board of Directors expired, effective immediately. In accordance with the Company’s Articles of Association, Mr. Neale and Dr. Jennett retired as members of the Supervisory Board and did not stand for re-election.
