Item 2.02 Results of Operations and Financial Condition.
On May 9, 2013, Cambium Learning Group, Inc. (the "Company") issued a press release announcing its financial results for the three months ended March 31, 2013. A copy of the press release is attached hereto as Exhibit 99.1.
This press release attached hereto as Exhibit 99.1, insofar as it discloses historical information regarding the Company’s results of operations and or financial condition for the three months ended March 31, 2013, is being furnished to the Securities and Exchange Commission under Item 2.02 of Form 8-K.
Item 8.01 Other Events.
On May 9, 2013, the Company announced that effective immediately it would cease holding investor conference calls to discuss quarterly financial results. The Company is a Smaller Reporting Company and a "controlled company" within the context of the NASDAQ rules. Accordingly, in addition to eliminating the management time commitment associated with these conference calls, the Company determined that conference calls are not an efficient means of communicating with stakeholders.
