On May 9, 2013, the Claire’s Stores, Inc. (the “Company”) issued a press release announcing that it intends to offer $320.0 million aggregate principal amount of senior notes due 2020 in an offering pursuant to Rule 144A and Regulation S under the Securities Act, as amended (the “Securities Act”). The Company intends to use the net proceeds of the offering to redeem $312.5 million aggregate principal of its 9.25% senior notes due 2015 and its 9.625%/10.375% senior toggle notes due 2011. A copy of the press release announcing this intent is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
The notes are being offering only to “qualified institutional buyers” in reliance on Rule 144A under the Securities Act and outside the United States only to non-U.S. persons in reliance on Regulation S under the Securities Act. The notes have not been and will not be registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
