Item 2.02.                                        Results of Operations and Financial Condition.

On May 8, 2013, Atlantic Power Corporation (the “Company”) issued a press release reporting its operating results and other information for the three months ended March 31, 2013.  The Company is filing this Amendment on Form 8-K/A to its Current Report on Form 8-K filed on March 8, 2013 to correct an error in its Consolidated Statements of Cash Flows to reflect $17.1 million of interest paid (instead of $34.0 million) for the three months ended March 31, 2013. A copy of the Company’s amended press release is attached as Exhibit 99.1 hereto and is incorporated by reference.
