On April 19, 2013, Tuckernuck Associates LLC, a subsidiary of Wheeler Real Estate Investment Trust, L.P., a Virginia limited partnership and the operating partnership (the “Operating Partnership”) of Wheeler Real Estate Investment Trust, Inc., a Maryland corporation, entered into a Promissory Note (the “Note”) with Aviva Life and Annuity Company for $6.5 million to refinance debt on the Shoppes at TJ Maxx shopping center that matured on April 19, 2013. The Note matures on May 1, 2020, provides for an interest rate of 3.88% and a 300-month amortization and is guaranteed by the Operating Partnership.
