Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 21, 2013, William B. Hughson, President, Healthcare Group, DeVry Inc. (“DeVry”), informed DeVry of his decision to resign from DeVry, effective May 24, 2013, in order to accept a position as Chief Executive Officer of IntegraMed Fertility, an operator of fertility clinics based in New York.

Item 8.01.  Other Events

On April 25, 2013, DeVry issued a press release announcing the resignation of William B. Hughson, President of DeVry’s Healthcare Group and the appointment of Steve Riehs to serve as President of DeVry Medical International.  Steve Riehs will also continue to serve as President of DeVry’s International, K-12 and Professional Education segment.  The full text of that press release is included in Exhibit 99.1 in this Form 8-K.
