Item 1.01 Entry into a Material Definitive Agreement.
On April 15, 2013, Measurement Specialties (Chengdu) Ltd. (“MEAS Chengdu”), a subsidiary of Measurement Specialties, Inc. (the “Company”), entered into a construction contract with China Huashi Enterprises Company Limited for the construction of a new industrial building for MEAS Chengdu in Chengdu, China. The cost of the building is expected to total approximately $6.5 million, excluding value added taxes. The approximately 17,300 square meter building is expected to be completed by March 2014. The construction of the new building is dependent on obtaining customary permits and approvals from local authorities.
