Item 8.01 Other Events

On April 17, 2013, the United States Court of Appeals for the Ninth Circuit issued an opinion (the “Opinion”) in connection with Equity LifeStyle Properties, Inc.’s lawsuit challenging the City of San Rafael’s rent control ordinance. Equity LifeStyle Properties, Inc. intends to file a petition for rehearing.

The Opinion is included in this Form 8-K as Exhibit 99.1.
