Item 1.01 Entry into a Material Definitive Agreement

On April 14, 2013, MedeFile International, Inc. (the “Company”) entered into and closed a securities purchase agreement with an accredited investor (the “Investor”) pursuant to which the Company sold 2,000,000 shares of common stock for a purchase price of $400,000. The Company also issued to the Investor four-year warrants to purchase 400,000 shares of common stock with an exercise price of $0.20.

In connection with the foregoing, the Company relied on the exemption from registration provided by Section 4(2) of the Securities Act of 1933, as amended, for transactions not involving a public offering.
