Item 7.01. Regulation FD Disclosure.
On April 18, 2013, The ADT Corporation (“ADT”) issued a press release announcing the commencement of ADT’s offer to exchange up to $700,000,000 aggregate principal amount of its outstanding $700,000,000 4.125% Notes due 2023 for a like principal amount of its new $700,000,000 4.125% Notes due 2023. A copy of the press release is furnished as Exhibit 99.1 to this current report and is incorporated herein by reference.
